In particular, the\nheirs claim that Ed Sheeran\u2019s song \u201cThinking Out Loud\u201d plagiarizes his song\n\u201cLet\u2019s Get it on,\u201d co-written and performed by Marvin Gaye. According to the\nlawsuit, Ed Sheeran and Marvin Gaye\u2019s songs have the \u201csame melody, rhythms,\nharmonies, drums, bassline, backing chorus, tempo, and syncopation.\u201d <\/p>\n\n\n\n<p>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; \u201cLet\u2019s Get It On\u201d was written in\n1973 and a copyright application was filed that same year with the United\nStates Copyright Office. The application identifies Townsend as the sole author\nof \u201cLet\u2019s Get It On.\u201d Townsend\u2019s heirs claim the song is one of the most famous\nsongs in R&amp;B and soul music history and has been ranked as the 20<sup>th<\/sup>\ngreatest breakbeat of all time. Plaintiffs claim the melody, harmony, rhythm,\ndrums, and bassline are all qualitatively important to the musical work and their\ncombination \u201cis the driving force of this composition.\u201d<\/p>\n\n\n\n<p>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Ed Sheeran and non-party Amy Wadge\nco-authored the musical composition for \u201cThinking Out loud\u201d in 2014 and\nrecorded the first commercially released version that same year. The song has\nhit the number one position on national charts in eleven countries since 2014\nand has been certified platinum numerous times by the Recording Industry Association\nof America. Further, Sheeran was nominated for a Grammy Award for Best Record,\nBest Performance, and Song of the Year in 2016 for \u201cThinking Out Loud.\u201d<\/p>\n\n\n\n<p>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Under copyright law, any given piece\nof recorded music comprises two sets of rights. The first set protects the musical\nwork, that is, the underlying musical composition, which is \u201cthe arrangement\nand combination of musical notes, chords, rhythms, harmonies, and lyrics.\u201d The\nother right is to the sound recording, or master, which protects the actual\nrecording of the musical composition.<\/p>\n\n\n\n<p>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; To prove copyright infringement of a\nmusical work, the accused party must either infringe, that is, be substantially\nsimilar to, the musical composition or the sound recording. In a motion for summary\njudgment, Plaintiffs argued Sheeran infringed the sound recording performed by\nMarvin Gaye. Sheeran argued the scope of Plaintiffs\u2019 copyright is defined\nsolely by the musical composition deposit copy that was provided to the Copyright\nOffice upon registration. In arguing this way, the plaintiffs\u2019 goal was to\ndefine the copyright\u2019s scope based on the sound recording because hearing the\npercussion and bass increases the perception of similarity between the works.\nHowever, the court ultimately agreed the copyright\u2019s scope was defined by the\ndeposit copy.<\/p>\n\n\n\n<p>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; In\nJuly, the New York District Judge vacated the September trial date to wait for\nthe results in a similar copyright infringement case involving Led Zeppelin\u2019s \u201cStairway\nto Heaven.\u201d Led Zeppelin\u2019s ongoing case involves alleged similarities between\ntheir famous hit and a 1968 instrumental composition by the band Spirit. The\njudge joked that the parties should \u201ctake the summer off\u201d and noted that if the\nLed Zeppelin case goes to the Supreme Court, Ed Sheeran\u2019s case may have to wait\nuntil 2020. <\/p>\n\n\n\n<p>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Meanwhile,\nanother company, Structured Asset Sales, previously sought to intervene in this\nlawsuit and become an additional co-plaintiff. Structured Asset Sales was\nfounded by investment banker David Pullman and securitizes future royalties to\nmusical intellectual property and then sells those asset-backed securities to\nother investors. For instance,  David\nBowie, The Isley Brothers, and James Brown, among numerous other musicians,\ndecided to sell off future income in exchange for money upfront. <\/p>\n\n\n\n<p>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Intervention\nis appropriate when a non-party claims an interest in the property or\ntransaction that is the subject of the lawsuit and will be harmed by\ndisposition of the action. In this way, Structured Asset Sales assets it\nentered into a contract with one of Ed Townsend\u2019s children\u2019s, Clef Michael\nTownsend, and therefore alleges owning a piece of \u201cLet\u2019s Get It On.\u201d The\nDistrict Judge nevertheless rejected the motion for intervention because it was\n\u201cclearly untimely.\u201d In so deciding, the judge pointed out that the case had\nbeen widely publicized and had been pending for nearly two years.
