Ganouna claims the defendants\r\nknowingly and unlawfully exploited her creative work in connection with\r\nCincoro\u2019s highly anticipated launch of its premium tequila brand in 2019.\r\nCincoro is owned by Michael Jordan and four other NBA owners.<\/p>\r\n\r\n\r\n\r\n<p>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Ganouna\r\nis a professional photographer and was commissioned to do a photoshoot for the\r\ndefendants of the agave fields and plants in Mexico, the tequila production\r\nprocess, and the tequila bottles and barrels, as well as other\r\ninstrumentalities, used for Cincoro\u2019s tequila. Prior to contacting Ganouna,\r\nTCYL had used a staff photographer for the project but was dissatisfied with\r\nthe quality of the images produced. According to Ganouna, her photoshoot was a\r\n\u201cmajor success\u201d and the defendants expressed their excitement at the prospect\r\nof using the images in their advertising campaign.<\/p>\r\n\r\n\r\n\r\n<p>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; For\r\nher time, Ganouna was paid a discounted day rate of $1,000 with the\r\nunderstanding that licensing\/usage rights would be negotiated at a later point.\r\nIndeed, Ganouna claims that such rights are typically negotiated separately\r\nfrom a photographer\u2019s day rate, which merely serves to compensate the\r\nphotographer for its time. When Ganouna later reached out to discuss usage of\r\nher photographs, a representative for TCYL responded that it had not been made\r\nclear that licensing the photographs would cost additional money. This same\r\nrepresentative also represented that TCYL would be hiring another photographer\r\nto do reshoots and that none of Ganouna\u2019s photographs would be used. However,\r\nGanouna alleges defendants never engaged another photographer for this purpose\r\nand that no reshoots ever took place.<\/p>\r\n\r\n\r\n\r\n<p>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; In\r\nSeptember 2019, Cincoro officially launched. At this point, despite defendants\u2019\r\nrepresentations, Ganouna discovered that Cincoro had indeed used a number of\r\nher images on its website, social media accounts, including Instagram,\r\nFacebook, and Twitter, as well as in paid advertising (i.e., sponsored\r\nadvertisements) and by third-party vendors. As such, Ganouna, through counsel,\r\nsent a letter to defendants demanding compensation for their purported use of\r\nher photographs and requesting they cease using the same until after a\r\nresolution had been reached. <\/p>\r\n\r\n\r\n\r\n<p>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; In\r\nresponse to Ganouna\u2019s letter, defendants claimed that TCYL had meta data\r\nproving that every photograph used was pulled from a video shot by TCYL and not\r\nfrom Ganouna\u2019s photographs. Nonetheless, Ganouna argues that even if this is\r\nthe case, the photographs selected from the videos taken concurrently with her\r\nphotoshoot appear to be identical to her photographs or \u201cextremely close\r\nderivatives thereof.\u201d Indeed, Ganouna claims to have dressed the sets, staged\r\nthe shots, and placed or directed the subjects of the shots. Moreover, Ganouna\r\nclaims that video was not shot to accompany every scene Ganouna shot. To date,\r\nGanouna\u2019s alleged photographs remain on Cincoro\u2019s website and social media\r\npages.<\/p>\r\n\r\n\r\n\r\n<p>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Ganouna\u2019\r\nfirst claim for relief, copyright infringement under 17 U.S.C. \u00a7 101 <em>et seq.<\/em>,\r\nrequires the use of works protected by copyright law without permission for\r\nsuch usage, thereby infringing the copyright holder\u2019s exclusive rights. Under\r\ncopyright law, authors of original works of authorship that are fixed in a\r\ntangible medium possess numerous rights, including reproduction, preparation of\r\nderivative works, distribution, public performance, and public display. For\r\neconomic rights to a copyrighted work to be transferred, such as through a\r\nlicensing agreement, the transfer must be in writing and signed by the\r\ncopyright holder. Notably, such transfer does not require payment or any\r\nconsideration in exchange for the granting of a license. That being said,\r\ncopyright holders often do require payment or otherwise place restrictions or\r\nobligations on the licensee. Thus, in this case, the court will determine\r\nwhether by accepting a $1,000 fee, Ganouna had licensed the rights to her\r\nphotographs.
